//TERMS OF USE

The issuer is Bybit FinTech Limited, a company incorporated and operating under the laws of the British Virgin Islands, registration number 2043335, registered office: Trinity Chambers, P.O. Box 4301, Road Town, Tortola, British Virgin Islands, which owns and operates the Bybit platform (bybit.com), acts as the issuer of the Presale Period, and is the party responsible for all obligations under this Agreement (including the obligation to refund funds and pay penalties in the event of an unsuccessful presale). All references in the Agreement to ‘Issuer’, ‘we’, ‘Project’, “Company” and ‘Bybit’ refer exclusively to Bybit FinTech Limited.

1.1 The presale shall be deemed unsuccessful if, upon expiry of the Presale Period specified in Appendix No. 1 to this Agreement, the Project has not attracted the minimum amount (Soft Cap) of $20,000,000 USD (or the equivalent in cryptocurrency at the exchange rate at the end of the Presale Period).
1.2. If the Presale is deemed unsuccessful, the Issuer undertakes to refund in full all funds received from Participants during the Presale (hereinafter referred to as the ‘Refund’) within 90 (ninety) calendar days from the date of application, without deducting any commissions, penalties or other withholdings, except for the actual and documented blockchain transaction costs (gas fees, network fees), which shall be deducted in proportion to each Participant's share.
1.3. The Refund shall be made to the same cryptocurrency wallet from which the Participant made the payment, in the same cryptocurrency or stablecoin in which the payment was made. If it is technically impossible to make a refund to the original address (for example, due to a change in the network or token standard), the Issuer shall agree on an alternative address with the Participant within 10 (ten) business days.
1.4. The Issuer shall be responsible for timely and full Refunds. In the event of a delay in fulfilling the Return obligation by more than 10 (ten) calendar days, the Issuer shall pay the Participant a penalty of 0.05% of the amount to be returned for each day of delay.
1.5. In addition to the Return, the Issuer undertakes to compensate the Participants for documented direct losses incurred solely as a result of gross negligence or intentional unlawful actions of the Issuer or its affiliates, which resulted in the impossibility of conducting the Presale or the loss of attracted funds (including, but not limited to, hacker attacks committed through the fault of the Issuer). The amount of such compensation in respect of each Participant may not exceed the amount actually paid by such Participant in the Presale.

1.6. The Issuer shall not be liable and shall not make any Refunds or compensation in the event of force majeure circumstances as defined in Article 12 of this Agreement, as well as in the event of a Participant's voluntary refusal to continue participation after the end of the Presale Period.

1.7. All Refunds and compensation payments shall be made at the expense of the Issuer and/or a specially created reserve fund (Escrow) specified in Section 7 of this Agreement. Participants shall have a preferential right to claim funds from the reserve fund over any other creditors of the Issuer in respect of the amounts subject to Refund.
